Terms of Service

1. Acceptance of terms

By accessing or using Kotally ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not access or use the Service. These Terms apply to all users, including account owners and their team members.

2. Description of service

Kotally provides a credit-based membership ledger and automation layer that integrates with GoHighLevel and Stripe. The Service enables businesses to manage membership plans, track credit balances, enforce eligibility rules before appointments, and automate deductions, renewals, and refunds. Features may change over time; material changes will be notified via email or in-app notice.

3. Eligibility and accounts

You must be at least 18 years old to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us immediately at support@kotally.com if you suspect unauthorized access. One person may not maintain more than one free account.

4. Subscriptions and billing

Subscription fees are billed in advance on a monthly basis via Stripe. The base agency plan includes one active GHL sub-account at the published rate; each additional active sub-account incurs an extra monthly fee. All fees are non-refundable except as required by applicable law. Prices may change upon 30 days' notice; continued use after the change takes effect constitutes acceptance of the new prices. You are responsible for providing complete and accurate billing information. Late payments may result in service suspension until the outstanding balance is paid.

5. Third-party integrations

The Service integrates with GoHighLevel and Stripe. Your use of those platforms is governed by their respective terms of service and privacy policies. Kotally is not responsible for the availability, security, or performance of third-party services. You grant Kotally permission to access and process data from your connected accounts to the extent necessary to provide the Service.

6. Acceptable use

You agree not to use the Service to:

  • Violate any applicable law or regulation;
  • Infringe the intellectual property or other rights of third parties;
  • Transmit malware, viruses, or other harmful code;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Attempt to gain unauthorized access to any part of the Service or its systems;
  • Use the Service in a manner that exceeds reasonable request volume or abuses API rate limits.

We reserve the right to suspend or terminate accounts that breach these terms without prior notice.

7. Data ownership and privacy

You retain all ownership rights to the data you bring to Kotally, including member records, ledger entries, and configuration settings. Kotally does not claim ownership over your data. We process and store your data only as necessary to provide the Service. See our Privacy Policy for details on data handling practices.

8. Intellectual property

The Service, including its original code, design, branding, and documentation, is the exclusive property of Kotally and its licensors. You may not copy, modify, distribute, sell, reverse-engineer, or create derivative works of any part of the Service without our prior written consent. The Kotally name and logo are trademarks and may not be used without permission.

9. Limitation of liability

To the maximum extent permitted by applicable law, Kotally and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunity, arising out of or relating to your use of the Service, even if advised of the possibility of such damages. Our total liability for any claim arising from these Terms or the Service shall not exceed the total amount paid by you in the twelve months preceding the claim.

10. Warranty disclaimer

The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, secure, or that defects will be corrected.

11. Termination

Either party may terminate these Terms at any time. You may cancel your account at any time through the billing portal. On termination, your access to the Service ceases and your data will be retained for 90 days before permanent deletion, unless you request earlier deletion. Sections 7 through 14 survive termination.

12. Governing law

These Terms are governed by the laws of the Republic of Singapore, without regard to its conflict-of-law principles. Any disputes arising from these Terms shall be resolved exclusively in the courts of Singapore.

13. Changes to these terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days in advance. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you may cancel your account before the changes take effect.
